Terms & conditions for Vencer Agency. The term “You” or “Your” refers to you as the client.

1. Agreed Scope of Services

Your contract will be for some or all of the agreed the service(s) below:

Supporting you and the website with; any technical issues, partial hosting support and furthering conversion rate optimisation.

1.1 Additional Services

All services outside the scope of this agreement will be agreed by both parties and billed at an additional rate. 

You will sign a new order confirmation in order for additional services to take place. New service(s) will fall under the same minimum term conditions.

2. Start Date & Term Length

2.1 Start Date

‘Start date’ is defined as when a website build or digital marketing campaign has commenced and not when the contract is signed. Signing this contract means that you agree to the terms of service. 

Commencement of website builds will not commence until initial payment is received. 

Commencement of any marketing set up and or marketing campaign start will not begin until payment is received. 

2.2 Term Length Or Duration

‘Term length’ of work (Minimum Term, Duration, or One Off)

  • The Minimum term length of any digital marketing services is a three month and one month rolling thereafter.
  • The Duration time of a website build will be provided to you upon the final agreed project specification.
  • Where One Off work is required a completion date will be provided to you.

Note – For some website builds and one off pieces of work, there will be a need for your input. If there is a hold up from you then this may delay completion times.

 

3. Price

Vencer Agency will review pricing from time to time in line with market factors and reserve the right to increase prices. If prices are increased you will be informed in writing (email) 30 days in advance of any further payments being taken.

There will be times where prices will increase in order to further campaign potential. This will be discussed with you on a case by case basis.

4. Exclusivity 

This contract is a non exclusive contract. Should exclusivity be wanted by you, this shall be discussed by you & Vencer Agency, with additional fees implemented for the purpose of exclusivity.

5. Fees & Payment Terms

Payment terms and instructions will be provided upon proposal. By signing the agreement you accept the payment terms and methods.

5.2 Digital Marketing Services 

The first month of digital marketing services shall be paid upfront & upon contract signing. 

Ongoing digital marketing services will be invoiced on the eighth of each month and collected by direct debit on the twenty eighth of same month. 

5.3 One Off Pieces of Work (Project Based or Agreed Work)

One off pieces of work will be agreed by Vencer Agency and you.

Payment terms and instructions will be provided upon agreed work.

5.4 Delayed Payments, Cancellation of Direct Debit & Late Fees

If payment is delayed by you this could affect the commencement, continuation or completion of work. 

If a direct debit is cancelled and therefore money not collected (in any format) then any ongoing digital marketing work shall be stopped until a new direct debit is set up and money received for the current month of work.

5.5 Late Fees

Vencer Agency will implement late fees if your payment is made late three times in a row without prior notice. Upon the third time Vencer Agency will charge a £100 late fee on top of the already outstanding payment. There will be an increase of £100 for every late payment thereafter.

All payments to be made in pound sterling (£GBP) unless otherwise agreed.

6. Client Responsibilities

6.1 Access To Marketing Platform Accounts & Websites

It may be the case that you already have digital marketing accounts on applicable platforms that have been used before. Likewise it may be the case that you already have a website. Depending on the scope of the work undertaken by Vencer Agency, it is important that Vencer Agency has access* to such platforms or websites with correct username or passwords.

*For most platforms the minimum access level required is manager level.

6.2 Timely provision of content requests, approvals and feedback

There will be times whereby approval will be needed by you for such things like content, designs etc. Likewise, you may already have internal content that is suitable for what is needed for a marketing campaign or website build. It is in your best interest to provide, approve or give feedback in a timely manner in order for work and or progress not to be delayed.

6.3 Consistent Point of Contact

To provide a point of contact who is invested in your digital marketing and website. This will be of benefit for both you and Vencer Agency, for a stronger long term relationship, overall understanding and positive progress with any work undertaken by Vencer Agency. 

6.4 Lead Generation & Sales Follow Ups

For the time period that you are with Vencer Agency is it important that any leads or sales driven by Vencer Agency’s marketing activities is followed up in a timely manner in order to keep your potential or end customer satisfied.

 

7. Confidentiality & Non-Disclosure

Quotes and pricing terms are between you and Vencer Agency and maybe unique to you. You agree to keep the pricing arrangement confidential for a period of no less than eighteen months after any agreement ends. You will not use this confidential pricing information in furtherance of its business or the business of anyone else, whether or not in competition with Vencer Agency.

Duration of confidentiality of any type for sensitive information about Vencer Agency shall remain confidential during the campaign commencement term and for a period of eighteen months after any form of termination.

8. Intellectual Property

Ownership of content, creatives will be the ownership of you, unless stated otherwise. 

Ownership of intellectual property, including shared items with Vencer Agency, that may be deemed commercial or campaign sensitive must remain confidential during the contract and up to eighteen months afterwards. This is to protect the business of you and Vencer Agency.

9. Termination 

Minimum four month term must be respected by you. If you wish to end within the minimum term early they can do so by paying the remaining time period in full from when the ‘Campaign Started’ and not when the contract was signed.

Either party will be able to terminate with one month’s notice period. 

9.1 Abusive Behaviour

If Vencer Agency finds that you have been abusive and or threatening to any members of its staff, Vencer Agency will firstly conduct a full investigation. Should substantial evidence be found, Vencer Agency has the right to terminate any contract with immediate effect.

9.2 Non Payment

If there is consistent non payment by you, Vencer Agency has the right to terminate any contractual agreement with immediate effect. If work has been agreed to and produced by Vencer Agency and payment has not been received, Vencer Agency may take legal action in order to claim funds for work produced.

9.3 End Of Contractual Agreement

After you have left your contractual agreement with Vencer Agency, Vencer Agency has no responsibilities or obligations with you unless confirmed by Vencer Agency.

10. Liability & Guarantee

No liability whatsoever (except provided by law) will be accepted by Vencer Agency for any damages or losses arising or as a consequence of the provision of the services by any other or default on the part of Vencer Agency of any servant agent or contractor of Vencer Agency in relation to this agreement and the services unless the same occurs because of the negligence of Vencer Agency it’s servant agents or contractors in which case liability is limited to resupplying the services again or a refund of the fees paid by you in the previous one month elected by Vencer Agency. 

Vencer Agency makes no guarantee that digital marketing will generate any increase in sales, business activity, profit or any form of improvement of your business or any other purpose.

11. Force Majeure

Neither party shall be held liable for any delay or failure to perform its obligations under this agreement where such delay or failure is caused by events or circumstances beyond the reasonable control of the affected party. Such events or circumstances shall include, without limitation, power outages, telecommunications or internet service provider failures, industrial disputes or strikes, civil commotion or unrest, fire, explosion, flood, storm, earthquake, epidemic or pandemic, terrorist acts, war, governmental order or regulation, or any other event of a similar nature which could not have been reasonably foreseen or avoided by the affected party.

 

12. Entire Agreement

This terms supersedes any prior agreements.

No verbal agreements outside any signed contract will act as confirmation of additional work or services.

There are no refunds available on services provided by Vencer Agency unless reasonable grounds of neglect are found.

By signing a contract with Vencer Agency you accept means that you accept terms within.

This agreement shall be governed by the laws of the United Kingdom.
